By accessing or using ShopLocally (“App”, “Platform”, “Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, please discontinue use immediately.

1. Eligibility

You must be 18 years or older, or have parental/guardian consent, to use ShopLocally.

2. Services Provided

ShopLocally provides a digital platform where customers can discover deals, promotions, and offers from participating local businesses (“Merchants”).

We are a facilitator only — we are not a party to any transaction between Customers and Merchants and do not guarantee the availability, quality, or fulfillment of any deals.

3. Account Registration

• You must provide accurate and current information when registering.
• You are responsible for all activity under your account and for keeping your password confidential.
• We may suspend or terminate your account for:
  • Breach of these Terms
  • Suspicious or fraudulent activities
  • Misuse of the platform or abusive behaviour

4. Merchant Responsibilities

• Accurately describing deals, offers, and conditions
• Honouring promotions made available on ShopLocally
• Complying with applicable New Zealand consumer laws, including the Consumer Guarantees Act 1993 (CGA) and the Fair Trading Act 1986 (FTA)

5. Consumer Responsibilities

• Use the platform lawfully and ethically
• ShopLocally is not liable if a Merchant fails to honour a deal
• Resolve disputes with the Merchant directly in the first instance

6. Intellectual Property

All content, branding, and software on the ShopLocally app are owned by Nostalgia Forever Limited or its licensors.

Users are granted a limited, non-exclusive license to use the platform for personal, non-commercial purposes.

7. Limitation of Liability

To the fullest extent permitted by law:

• ShopLocally is not liable for any indirect, incidental, or consequential losses, including loss of profits, revenue, or data.
• We are not responsible for:
  • Failures by Merchants to honour deals
  • Service interruptions
  • Third-party service failures
• Our total liability to you shall not exceed NZD $100 or the amount you have paid to us (if any).

8. Privacy & Data Protection

We comply with the Privacy Act 2020 (NZ).

Personal data is collected, stored, and used in line with our Privacy Policy.

We retain personal data only as long as needed for legitimate business or legal purposes.

Users can request data deletion by contacting us at [support email].

9. Deal Fulfilment Disclaimer

ShopLocally solely provides a platform for promotions and deals.

We do not guarantee:

• Deal availability
• The Merchant’s performance or product/service quality

Any complaints regarding deal fulfillment should be directed to the Merchant.

10. Modifications to Terms

We reserve the right to update these Terms at any time.

• Changes are effective immediately upon posting on the app/website.
• Your continued use of ShopLocally after changes constitutes acceptance of the updated Terms.
• For significant changes, we may notify users via the app or email.

11. Dispute Resolution

We encourage parties to resolve disputes through good faith negotiation and mediation before taking legal action.

If mediation fails, disputes will be subject to the exclusive jurisdiction of the New Zealand courts.

12. Force Majeure

We are not liable for any delay or failure to perform due to events outside our reasonable control, including natural disasters, internet failures, pandemics, or government restrictions.

13. Governing Law

These Terms are governed by the laws of New Zealand.

14. Business Content & Photos

All photos, images, and content provided by Merchants on the ShopLocally platform are the sole responsibility of the respective Merchant.

• ShopLocally does not verify, endorse, or guarantee the accuracy, authenticity, or quality of any photos or visual content shared by Merchants.
• We are not liable for any misleading, inaccurate, or inappropriate images uploaded by businesses.
• Users should contact the Merchant directly for clarification regarding any promotional materials.
